This course will introduce the lawyer to the two principal areas of antitrust enforcement: merger and cartel enforcement.  Merger enforcement by the Department of Justice and Federal Trade Commission has regularly been in the headlines and in the courts.  The course will explain the pre-merger process as well as how to analyze a merger, utilizing the DOJ/FTC Horizontal Merger Guidelines and issues raised in recent contested cases.  The course will also feature the development of multi-jurisdictional merger control which may significantly complicate approval of the merger around the world. Cartel enforcement in the United States has resulted in billions of dollars in criminal fines and jail time for many corporate officials.  The course will look at detection of cartel offense and the investigative powers of the grand jury, the explosion of leniency policies, the negotiation of a settlement for companies and executives as well as the possibility of criminal prosecution by jury trial.  Most cases today have an international structure and defendants often face charges, fines and jail time in many jurisdictions around the globe.  Private class action cases add to the high cost of these cases, and private damage actions are now a fixture in multiple jurisdictions.  This is a pre-recorded replay of the 3/8/18 course.
